Backpack Bed for Homeless Australia (BBH) – Agency Partner Application Terms and Conditions
Effective Date: August 4, 2025
Please read these Terms and Conditions carefully before submitting your application to become an Agency Partner with Backpack Bed for Homeless Australia (BBH). By submitting the “Agency Partner Application” or the “Agency Partner Grant Application” (each, an “Application”), your organisation agrees to be bound by these Terms and Conditions.
1. Purpose of these Terms and Conditions
1.1. These Terms and Conditions govern the process of applying to become an Agency Partner with BBH and outline the mutual understandings and obligations between BBH and the applicant organisation (“Applicant Agency”) during the application and potential partnership phases.
1.2. These Terms and Conditions are subject to change without notice. Any updates will be reflected in the latest version of this document.
2. Parties Involved
• Backpack Bed for Homeless Australia (BBH): Established in 2007 as a nationally registered not-for-profit homeless charity – public benevolent institution – based in Australia, focused on providing material aid to unsheltered homeless. Operating under its legal name, Swags for Homeless Ltd (ABN: 93 128 411 012).
• Applicant Agency: The organisation submitting an Application for consideration as a BBH Agency Partner.
3. Application Process
3.1. Submission of an Application does not guarantee acceptance as a BBH Agency Partner.
3.2. BBH reserves the right to accept or reject any application at its sole discretion, without providing reasons.
3.3. BBH may request additional information, conduct interviews, or perform due diligence checks (including, but not limited to, reference checks and verification of charitable status) as part of the assessment process.
3.4. All information provided in the Application must be accurate, complete, and truthful. Misrepresentation or omission of material facts may result in the rejection of the application or termination of any subsequent partnership.
4. Eligibility and Mission Alignment
4.1. Applicant Agencies must primarily provide direct services to individuals experiencing unsheltered homelessness (e.g., sleeping rough, on the streets, in cars, or in temporary outdoor structures).
4.2. Applicant Agencies must understand and agree that Backpack Beds, Fire Retardant Sleeping Bags, and any other material aid products provided by BBH are intended as emergency relief for individuals who do not have immediate access to alternative safe, indoor shelter.
4.3. The Applicant Agency’s mission, values, and operational practices must align with BBH’s commitment to providing aid with dignity, promoting health, safety, and comfort for homeless individuals.
5. Distribution of Aid (if partnership is established)
5.1. If accepted as a Agency Partner, the Applicant Agency agrees to distribute Backpack Beds, Fire Retardant Sleeping Bags, and any other material aid products provided by BBH solely to individuals experiencing unsheltered homelessness as per BBH’s guidelines.
5.2. All products provided by BBH must be distributed at no cost to a confirmed unsheltered homeless person.
5.3. Aid distribution will be subject to availability of stock and BBH’s funding capacity. BBH does not guarantee the quantity or frequency of aid provision.
5.4. Partner Agencies must have secure and adequate storage facilities for received aid.
6. Reporting, Data Collection, and Impact Measurement
6.1. Partner Agencies must commit to consistently and accurately completing the “Backpack Bed Program Survey” for each distributed item in a timely manner. This data is crucial for BBH’s impact measurement and reporting to donors and stakeholders.
6.2. Partner Agencies must be willing to collect and share qualitative feedback, stories, and (with appropriate consent and anonymisation) anecdotes from recipients regarding the impact of the aid.
6.3. All data collected and shared with BBH must adhere to strict privacy and confidentiality protocols, ensuring the protection of personal information of aid recipients.
7. Privacy and Confidentiality
7.1. BBH will handle all information provided in the Application in accordance with its Privacy Policy and Australian privacy laws.
7.2. Any information shared between BBH and the Applicant Agency during the application process or subsequent partnership (including, but not limited to, operational details, recipient data, and impact reports) shall be treated as confidential and used solely for the purposes of the partnership.
8. Media and Promotion
8.1. Partner Agencies agree to be open to participating in joint media opportunities or providing quotes for BBH’s marketing and fundraising materials, provided proper consent and privacy considerations for individuals are maintained.
8.2. Partner Agencies are encouraged to cross-promote BBH’s mission and/or fundraising campaigns through their own channels, acknowledging BBH as the provider of the aid.
8.3. The Applicant Agency acknowledges that the fact of its involvement with BBH, including its name and status as an Applicant Agency or Agency Partner, is not confidential and may be publicly acknowledged by BBH, including the use of an Applicant Agency logo for public recognition that the Applicant Agency is a registered Agency Partner with BBH.
9. Compliance
9.1. The Applicant Agency must be a legally registered entity in its country of operation (e.g., registered charity, not-for-profit organisation).
9.2. If accepted as an Agency Partner, the organisation agrees to adhere to all BBH guidelines, policies, and procedures related to the distribution of aid, data collection, and communication.
9.3. The Applicant Agency must comply with all relevant local, state, and federal laws and regulations, including those pertaining to charity operations, privacy, and the distribution of aid.
10. Termination of Partnership (if established)
10.1. BBH reserves the right to terminate a partnership at any time, without notice, if a Agency Partner fails to comply with these Terms and Conditions, BBH guidelines, or for any other reason deemed appropriate by BBH.
10.2. An Agency Partner may terminate the partnership by giving BBH 14 business days written notice.
11. Limitation of Liability
11.1. To the maximum extent permitted by law, BBH, its officers, employees, agents, and volunteers shall not be liable for any loss, damage, cost, expense, or liability of any kind, whether direct, indirect, incidental, special, consequential, or exemplary, including but not limited to, losses for loss of profits, goodwill, data, or other intangible losses (even if BBH has been advised of the possibility of such damages), arising from or in connection with:
(a) The submission, processing, review, or rejection of any Application;
(b) Any decision made or action taken or not taken by BBH in relation to an Application or a potential partnership;
(c) The provision or non-provision of aid (including Backpack Beds, Fire Retardant Sleeping Bags, and any other material aid products provided by BBH) to an Applicant Agency or Agency Partner;
(d) Any errors, omissions, or inaccuracies in the information provided by BBH, except where expressly agreed otherwise in a formal written partnership agreement.
11.2. The Applicant Agency acknowledges and agrees that BBH has no contractual or legal obligation to enter into a partnership, and the decision to engage with, or provide aid to, an Applicant Agency or Agency Partner rests solely with BBH.
12. Disclaimer
12.1. Submission of an Application does not create a binding partnership agreement. A formal Partnership Agreement may be issued by BBH upon successful application.
12.2. BBH makes no guarantee of the quality, quantity or continuous provision of Backpack Beds, Fire Retardant Sleeping Bags, or any other material aid products to any Agency Partner.
13. Governing Law
These Terms and Conditions shall be governed by and construed in accordance with the laws of Queensland, Australia, and the parties submit to the exclusive jurisdiction of the courts of Queensland.
14. Acceptance
By submitting an “Agency Partner Application” or an “Agency Partner Grant Application,” the Applicant Agency acknowledges that it has read, understood, and agrees to these Terms and Conditions.

1. Purpose of these Terms and Conditions
1.1. These Terms and Conditions govern the process of applying to become an Agency Partner with BBH and outline the mutual understandings and obligations between BBH and the applicant organisation (“Applicant Agency”) during the application and potential partnership phases.
1.2. BBH reserves the right to update or amend these Terms and Conditions from time to time. The same notification process applies to material changes to the BBH Terms of Purchase and the BBH Privacy Policy. Any material changes will be communicated to registered Agency Partners by email to the address provided in their Application, or by prominent notice on the BBH Agency Partner Portal, no less than 14 days before the changes take effect.
1.3. Continued use of the BBH Agency Partner Portal, or continued receipt or distribution of BBH products, after the effective date of any updated Terms and Conditions constitutes acceptance of the updated terms by the Agency Partner.
1.4. If an Agency Partner does not agree to updated Terms and Conditions, it may cancel its registration in accordance with Section 10.2. The previous version of the Terms and Conditions will govern the relationship until the effective cancellation date.
1.5. The current version of these Terms and Conditions, including the effective date, will be available at all times on the BBH Agency Partner Portal.
2. Parties Involved

2A. Nature of the Relationship — No Legal Partnership
2A.1. The use of the terms “Partner,” “Agency Partner,” “Partnership,” and any similar collaborative terminology throughout these Terms and Conditions, on the BBH Agency Partner Portal, in any BBH communications, or in any application or agreement forms, is intended solely to describe a collaborative working relationship for the purpose of distributing charitable aid. These terms are used in their colloquial, everyday sense and do not denote or create a legal partnership, joint venture, agency, franchise, or employment relationship within the meaning of the Partnership Act 1891 (Qld) or equivalent legislation in any other Australian state or territory.
2A.2. The relationship between BBH and any Applicant Agency or Agency Partner is that of:
(a) an independent grantor and grantee (in respect of any grants provided); and/or
(b) an independent supplier and authorised distributor (in respect of any products purchased or provided),
under which Approved Agencies operate as independent organisations with authorised access to the BBH Agency Partner Portal for the purposes of purchasing BBH products and applying for BBH grants.
2A.3. For the avoidance of doubt:
(a) neither party has any authority to bind, obligate, or represent the other party in any dealings with third parties;
(b) no profit-sharing arrangement exists or is contemplated between BBH and any Agency Partner;
(c) no joint or several liability attaches to either party for the acts, omissions, debts, or obligations of the other party;
(d) each Agency Partner operates as a fully independent organisation, solely responsible for its own governance, staffing, compliance, insurance, and operational decisions; and
(e) BBH does not direct, control, or manage the day-to-day operations of any Agency Partner beyond the terms set out in these Terms and Conditions and any related grant or purchase agreements.
2A.4. No Agency Partner shall represent to any third party that it is a legal partner, joint venturer, or agent of BBH, or that it has any authority to bind BBH in any way.
2B. Relationship to Terms of Purchase
These Terms and Conditions are supplementary to and should be read in conjunction with the BBH Terms of Purchase, which govern the sale and purchase of BBH products through the Agency Partner Portal. In the event of any inconsistency between these Terms and Conditions and the Terms of Purchase, the Terms of Purchase shall prevail in respect of the sale and purchase of products, and these Terms and Conditions shall prevail in respect of all other matters.
3. Application Process
3.1. Submission of an Application does not guarantee acceptance as a BBH Agency Partner.
3.2. BBH reserves the right to accept or reject any application at its sole discretion, without providing reasons.

6.2. Partner Agencies must be willing to collect and share qualitative feedback, stories, and (with appropriate consent and anonymisation) anecdotes from recipients regarding the impact of the aid.
6.3. All data collected and shared with BBH must adhere to strict privacy and confidentiality protocols, ensuring the protection of personal information of aid recipients.

The Applicant Agency further acknowledges that BBH may publicly disclose the quantity of BBH products supplied to, and/or distributed by, the Agency Partner, attributed to the Agency Partner by name, for the purposes of impact reporting, donor communications, fundraising, and promotional activities.
9. Compliance
